Overview

You must read These Terms of Service carefully before accessing and/or using any part of the Platform or Platform Functionality/Services. For purposes of these Terms, "you", "your", and "User" means you as a user of the Services.

These Terms

These terms and any agreed additional terms such as subscription packages and pricing that will apply to your use of the Platform (together Terms) govern your relationship with WoSafePoint Private Limited. and its subsidiaries (we, our, us, WoSafe, WoSafePoint) unless you, or the organization you represent, has entered into a separate binding contract with us.

Other Applicable Terms

Our Privacy which sets out: (a) the terms on which we process any personal data we collect from you, or that you provide to us; and (b) information about the use of cookies on the Platform, will also apply to your use of the Platform. By using the Platform, you consent to such processing, and you warrant that all data provided by you is accurate.

Changes to These Terms

From time to time, we may update these Terms (including by way of Additional Terms or policies). We will notify you in writing of any material changes to our terms (including but not limited to via email and pop-up notices on the Platform). If you continue to use the Platform following receipt of such notice, you will be deemed to have accepted the updated Terms.

Acknowledgement of Ability/Authority to Agree; Agreement to Terms of Service

By accessing or using any part of the WoSafePoint (including our website, mobile applications, and any related services), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. You further affirm that you are at least 13 years of age or older and that you have the necessary legal capacity to enter into a binding agreement under applicable law.

If you are below 18 years of age, you confirm that you are using the platform under the supervision of a parent, guardian, or responsible adult, who also agrees to these Terms of Service on your behalf.

If you are using the platform on behalf of another person, an organization, or an entity (for example, as an employer or agency managing caregivers), you confirm that you are authorized to do so and that such person(s) or entity(ies) are also bound by these Terms of Service. This means that both you are personally and the entity you represent will be jointly responsible for compliance with all obligations described in these Terms of Service.

For example, if a caregiver agency uses WoSafePoint to manage caregiver profiles and services, both the individual caregiver and the agency will be held accountable for adhering to the rules, responsibilities, and obligations stated herein. Similarly, if you are an international tourist user registering on WoSafePoint, you acknowledge that your agreement applies globally and that your data may be processed in India in compliance with applicable laws.

All references to "you" within these Terms shall collectively and interchangeably refer to you personally, as well as to any individual, organization, or entity you represent, including without limitation, your employer or caregiving agency. To the extent permitted under applicable law, you also expressly waive any right to demand a more formal signature (whether electronic, handwritten, or otherwise) or the need for delivery of a hardcopy agreement. These Terms of Service, by your act of accessing or using WoSafePoint, constitute a valid and binding agreement.

By using WoSafe, you also acknowledge that the platform is designed to promote women's safety, trust between users and caregivers, and compliance with legal obligations such as identity verification, background checks, and police verification where applicable. By registering, you consent to these checks and agree to cooperate with such verification processes, whether in India or internationally, depending on your residency and nationality.

If you do not agree with any of the terms outlined herein, or if you do not have the authority to bind another individual or entity on whose behalf you purport to act, you must not access or use the WoSafePoint or its services.

Introduction

WoSafePoint is a platform dedicated to enhancing safety, trust, and accessibility for both users (who may require care, support, or assistance) and caregivers (who provide professional caregiving or personal support services). The platform also promotes women's safety initiatives, allowing individuals to access emergency features, verified caregiver profiles, and communication tools for safer interactions.

You may use limited features of the WoSafePoint Platform by simply visiting our website or mobile application, but full access to most of the Platform's functionality is reserved for registered users who create an account.

WoSafePoint enables:

  • Users to securely connect with verified caregivers, access safety tools (such as SOS emergency buttons and notifications), and maintain safe communication with their caregivers.
  • Caregivers to create detailed professional profiles, undergo verification processes (including police verification and identity checks like Aadhaar for Indian citizens or passports for international caregivers), and access job opportunities posted by users.
  • Both users and caregivers to communicate within the platform through a secure chat system after a service relationship is confirmed.

Additionally, WoSafePoint provides support for international users, such as tourists or expatriates, who may rely on caregiving services or safety assistance while in India. By maintaining compliance with local and international legal standards, WoSafePoint ensures responsible data handling, proper verification, and user protection.

Through its ecosystem, WoSafePoint seeks to build trust, enhance women's safety, and streamline caregiving interactions in a safe, transparent, and legally compliant manner.

4. Registration

You may access certain elements of the WoSafePoint by simply visiting our mobile application, but access to most of the Platform's functionality, including creating or managing a caregiver profile, using communication tools, or accessing safety features, is available only to registered users. By registering, you agree to provide truthful, accurate, and complete information and to keep that information updated at all times.

The decision to accept or reject a registration is at the sole discretion of WoSafePoint, and we reserve the right to revoke or suspend a registration if any information is found to be false, misleading, or in violation of these Terms of Service.

You may not register for the Platform if:

  • You are already registered under another account.
  • Your account was previously terminated by WoSafePoint due to a violation of these Terms.

Information Required for Registration

As part of the registration process, you will be required to provide:

  • Your full legal name, valid email address, and phone number.
  • A certified copy of a government-issued identity document, such as Aadhaar (for Indian citizens), Passport (for international caregivers or users), or any other legally recognized identity proof verifying your name, age, photograph, and address.
  • For caregivers, additional information may be requested, including proof of qualifications, experience, verification documents (such as police clearance certificates), and details necessary for women safety compliance.
  • If registering as a business entity (e.g., an agency providing caregivers), you may also be required to provide incorporation certificates, ownership details, nature of business, and other compliance-related documents.

Responsibility for Account Security

You are responsible for maintaining the confidentiality of your account credentials (username, password, and any other security codes), and you are solely responsible for all activities that occur under your account, whether authorized by you or not.

WoSafePoint will not be liable for any losses, damages, or misuse arising from unauthorized access to your account due to your negligence or sharing of login credentials. You agree to indemnify and hold WoSafePoint harmless for any unauthorized, improper, or illegal use of your account.

You must immediately notify WoSafePoint of any unauthorized use of your account, password, or any other breach of security. We will take appropriate steps to secure your account, but we will not be liable for any damage resulting from your failure to comply with this obligation.

Obligation to Keep Information Up to Date

You are responsible for ensuring that all information provided during registration and stored within your profile remains accurate and up to date. You may update your information directly via the Platform or by contacting our support team for assistance.

5. Your Use of the WoSafePoint Platform and Content Standards

You are solely responsible for making all technical arrangements necessary to access and use the WoSafePoint Platform. This includes ensuring that your device, internet connection, and any supporting software are secure, updated, and functional. You are also responsible for ensuring that any person who accesses the Platform through your account or internet connection is fully aware of these Terms of Service and complies with them.

Prohibited Uses

You agree that you will not use the WoSafePoint Platform in any unlawful, abusive, or fraudulent manner. Without limitation, you must not:

  • Use the Platform for any unlawful purpose, fraudulent activity, or activity that could harm another individual or entity.
  • Engage in any form of harassment, abuse, stalking, exploitation, or intimidation of caregivers, users, or other individuals connected with the Platform.
  • Send or procure the sending of unsolicited or unauthorized communications, including spam, promotional materials, or advertisements.
  • Upload, share, or transmit viruses, malware, spyware, trojans, worms, or any malicious code that could disrupt the proper functioning of the Platform, compromise user data, or damage hardware/software systems.
  • Misrepresent your identity, impersonate another person, or attempt to gain unauthorized access to another user's account or data.

Communications and Content Standards

WoSafePoint provides caregivers and users with features to communicate securely. Whenever you upload content or communicate through the Platform (each a "Communication"), you grant WoSafePoint a non-exclusive, royalty-free, worldwide license to host, copy, store, and make available such content for the purposes of operating the Platform and ensuring user safety.

You must ensure that all Communications adhere to the Content Standards. This means that Communications must not:

  • Contain defamatory, obscene, offensive, hateful, or inflammatory material
  • Promote or include sexually explicit content, violence, or gang-related symbols.
  • Promote or encourage discrimination based on gender, race, religion, nationality, disability, age, or sexual orientation.
  • Violate any legal rights, intellectual property rights, or contractual obligations owed to third parties.
  • Be deceptive, misleading, or published with malicious intent.
  • Harass, embarrass, threaten, or cause distress to another user.
  • Impersonate another individual, misrepresent your affiliation, or create false caregiver or user profiles.
  • Advocate or encourage unlawful acts, including fraud, exploitation, or computer misuse.

Accountability and Indemnification

By using the Platform, you warrant that all of your Communications comply with these Content Standards. You will be held liable for any loss or damage suffered by WoSafePoint or any third party due to your breach of this warranty. WoSafePoint will not be responsible for user-generated content and disclaims liability for any Communication made by you or other users.

User Precautions

You agree to take reasonable precautions in all your interactions with caregivers, users, and third parties on the Platform. While WoSafePoint provides verification and safety measures, you acknowledge that:

  1. Any information published on the Platform (such as caregiver profiles, user requests, or safety alerts) may be visible to other users.
  2. The publication of such information by WoSafePoint does not amount to a breach of confidentiality by WoSafePoint.
  3. If you wish to share confidential information with another party through the Platform and require additional obligations of confidentiality, you are responsible for establishing a separate confidentiality agreement with that party outside the Platform.

Content Standards and Platform Usage Policy

1. General Responsibilities

You are responsible for making all necessary arrangements to access the WoSafePoint Platform and Services. You are also responsible for ensuring that any person using the Platform through your internet connection complies with these Terms. By using WoSafePoint, you acknowledge that this Platform exists to provide safe, respectful, and transparent interactions between caregivers and users.

2. Prohibited Uses

You may not use the Platform:

  • For any unlawful, fraudulent, or harmful purpose.
  • To harass, intimidate, exploit, or endanger another person.
  • To send unsolicited communications, spam, advertisements, or promotional material.
  • To knowingly transmit data or upload material that contains harmful code, such as viruses, malware, spyware, worms, or Trojan horses.
  • To impersonate another individual, misrepresent your identity, or create false caregiver or user profiles.
  • To facilitate or encourage any activity that could put the safety of caregivers or users at risk.

3. Caregiver and User Interactions

WoSafePoint exists primarily to foster trust and safety between caregivers and users. Accordingly:

  • All communications must remain professional, respectful, and safe.
  • Harassment, abusive language, hate speech, sexual misconduct, or discriminatory behavior will not be tolerated.
  • Any attempt to exploit vulnerable groups, including women, elderly persons, or children, will result in immediate suspension and may be reported to authorities.
  • Confidentiality must be maintained — caregivers may not disclose users' private addresses, phone numbers, or health-related details outside the platform unless legally required.

4. Content Standards

Whenever you upload or share information (e.g., caregiver profiles, user requests, reviews, or messages), such content must not:

  • Contain defamatory, obscene, offensive, or hateful language.
  • Promote or depict violence, harassment, or unsafe behavior.
  • Include gang symbols, explicit sexual material, or discriminatory statements.
  • Infringe on any third-party rights, including intellectual property, trademarks, or trade secrets.
  • Be misleading, deceptive, or breach confidentiality agreements.
  • Violate privacy rights by sharing personal data without consent.

5. Accountability and Consequences

You are fully responsible for all communications and content shared on WoSafePoint

  • Any violation of these content standards may lead to suspension or termination of your account.
  • In severe cases, WoSafePoint reserves the right to involve law enforcement for user or caregiver safety.

6. Safety Precautions

WoSafePoint encourages all users and caregivers to:

  • Exercise caution in all in-person meetings arranged through the platform.
  • Report any suspicious, unsafe, or abusive behavior immediately.
  • Use the platform's built-in features, such as reporting, blocking, and emergency SOS, to protect yourself.
  • Avoid sharing unnecessary sensitive information outside of what is legally required (e.g., Aadhaar for Indian caregivers, passport for international caregivers).

6. Fees and Payments

  1. User must pay any applicable subscription fees applicable to any subscription package accepted by the User, the fees, any overages, and any other amounts payable by User directly to us in accordance with the Contract.
  2. User must pay to us
    1. the fee amount by the due date as specified via the Platform. WoSafePoint reserves the right to determine (on a case-by-case basis) whether new Users are required to pay a percentage of or the full
    2. any costs and expenses set out in the Contract (including, taxes, and other charges, etc.) by the payment method and currency stipulated via the Platform or applicable invoice (which may be updated from time to time);
  3. WoSafePoint may modify your Payment Plan fees at any time and in its sole discretion upon at least 30 (thirty) days advance notice to you before the end of your next billing cycle or based on the terms of your contract with WoSafePoint; in case of conflict pursuant to this clause the terms of your contract with WoSafePoint shall prevail.
  4. The above changes to Payment Plans will become effective at the end of the next billing cycle following your receipt of notice of the change. If you do not agree to the fee change, you must terminate your Payment Plan at least 7 (seven) working days prior to the end of your next billing cycle by sending a notice of termination or based on the terms of your contract with WoSafePoint; in case of conflict pursuant to this clause the terms of your contract with WoSafePoint shall prevail.
  5. User is solely responsible for conducting appropriate due diligence and ensuring the suitability prior to their engagement.
  6. If User fails to make any payment due under the Contract by the due date for payment, then, without limiting our remedies, User agrees to pay interest on the overdue amount at the rate of 2% per annum above our primary bank's standard overdraft rate or based on the terms of your contract with WoSafePoint; in case of conflict pursuant to this clause the terms of your contract with WoSafePoint shall prevail. Such interest shall accrue on a daily basis from the due date until actual payment of the overdue amount, whether before or after judgment. User agrees to pay the interest together with the overdue amount.
  7. User agrees to make all payments under the Contract without withholding or deduction of, or in respect of, any taxes unless required by law. If any such withholding or deduction is required by law, User agrees to, when making the payment to which the withholding or deduction relates, pay to us such additional amount as will ensure that we receive the same total amount that we would have received if no such withholding or deduction had been required. In addition, where required to be paid by law, the User must provide to us a copy of the certificate of withholding (or analogous document).
  8. User acknowledges that:
    1. The payments under the Contract payable to WoSafePoint are exclusive of taxes which, if applicable, shall be payable by User;
    2. We have no responsibility whatsoever in relation to the impact of exchange rate variations or payment gateway fees and charges;
    3. In the event a User determines that it is required to withhold any Taxes from any sums payable to us, the User is obligated to notify us in advance, setting out the legal basis for the withholding of these sums.
  9. Using WoSafePoint's Payments Partners
    • WoSafePoint would use various payments partners, technologies, licenses etc. to enable payments services on its platforms. User acknowledges terms of using WoSafePoint's platform.

8. Term; Termination; Suspension

Subscription Term

The term of a Platform subscription will begin on the date of purchase of such subscription (the "Effective Date") and shall continue until the earlier of:

  1. The duration of the selected subscription plan (weekly, monthly, annual, or any other plan offered), or
  2. One (1) year from the Effective Date (the "Initial Term"), unless terminated earlier as provided herein.

Termination by User or Caregiver

  • A User or Caregiver may terminate their use of the Services and these Terms directly through their Account settings.
  • Termination will not relieve the User or Caregiver of any obligations related to completed or ongoing bookings, outstanding payments, or unresolved disputes.

Termination or Suspension by WoSafePoint

WoSafePoint may, at its sole discretion, terminate, suspend, or restrict access to the Platform, Services, or specific account features, with or without notice, under the following circumstances:

  1. Violation of Terms – If WoSafePoint has reason to believe that a User or Caregiver has breached these Terms of Service.
  2. Legal Liability – If WoSafePoint determines that the actions of a User or Caregiver could cause legal liability or material harm to the Platform, Users, or Caregivers.
  3. Fraud or Misrepresentation – If WoSafePoint believes that any User or Caregiver has misrepresented information, engaged in fraudulent activity, harassment, or illegal conduct.
  4. Non-Payment – If a User or Caregiver fails to pay applicable fees, service charges, or subscription dues within five (5) days after being notified of such non-payment.
  5. Financial Insolvency – If a User or Caregiver files for bankruptcy or becomes insolvent under applicable laws.
  6. Safety Concerns – If WoSafePoint determines that continued access poses risks to the safety, privacy, or well-being of other Users, Caregivers, or the community.

Post-Termination Rights

  • Termination of the Services or Terms does not affect rights or obligations accrued prior to termination.
  • WoSafePoint will not be liable for costs, damages, or losses resulting from the suspension or termination of Services.
  • After termination, access to the terminated Services will immediately cease; however, WoSafePoint may grant limited access rights to allow Users or Caregivers to view and download past records (such as servicing history, payment receipts, or service reports) for a limited time.
  • Such limited access may be revoked at WoSafePoint's discretion at any time.

Investigations

  • WoSafePoint reserves the right to investigate suspected violations of these Terms, misuse of the Platform, harassment, or unlawful activity.
  • WoSafePoint will cooperate fully with law enforcement, regulators, and courts, including disclosing the identity, behavior, or data of any User or Caregiver involved in suspected violations or illegal activity.

9. Confidentiality

Confidential Information refers to any business, technical, operational, financial, or personal information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") that is identified as confidential or which reasonably should be understood to be confidential, given the nature of the information and the circumstances of disclosure. This includes, without limitation:

  • Personal information of Users and Caregivers such as Aadhaar, Passport details, addresses, health-related notes, and contact information
  • Business operations, processes, technologies, strategies, and records of WoSafePoint
  • Payment details, subscription plans, and service charges
  • Any communication or records exchanged between Users, Caregivers, and WoSafePoint through the Platform

Confidential Information does not include information that:

  • Is or becomes publicly available without breach of these Terms
  • Was lawfully in the Receiving Party's possession before disclosure
  • Was obtained from a third party who had the right to disclose it
  • Must be disclosed under law, regulation, or court or government order, provided that the Receiving Party gives prompt notice (where legally permitted) and cooperates with the Disclosing Party to limit or challenge such disclosure

The Receiving Party agrees not to use Confidential Information for any purpose other than performing obligations under these Terms of Service and must not disclose it to any unauthorized person or entity without prior written consent of the Disclosing Party. The Receiving Party must adopt reasonable and industry-standard measures to protect Confidential Information from unauthorized access, misuse, or disclosure.

All terms and conditions of these Terms of Service, including subscription fees, payment terms, and service charges, will be treated as Confidential Information of WoSafePoint. All User and Caregiver content, including personal data, uploaded documents, and communications, shall be considered the Confidential Information of the respective User or Caregiver. However, WoSafePoint may use anonymized or aggregated data derived from User or Caregiver activity strictly for internal purposes, including improving services, enhancing safety features, or conducting analytics, provided that such use does not reveal personal identities.

In particular, Caregivers and Users acknowledge that any personal data shared for verification or service purposes—including Aadhaar, Passport numbers, or police verification documents—is strictly confidential and must be used only for verification and service facilitation. Any misuse, unauthorized disclosure, or sharing of this information by a User, Caregiver, or third party will be treated as a serious violation of these Terms and may result in account suspension, termination, or legal action.

10. WoSafePoint Intellectual Property

  • "WoSafePoint Content" means all text, graphics, images, software, audio, video, designs, documents, data, reports, works of authorship, and any other materials that are posted, generated, provided, or otherwise made available through the Platform or Services by WoSafePoint, excluding User Content. Together, User Content and WoSafePoint Content shall be referred to as "Content."
  • WoSafePoint and its licensors exclusively own all worldwide right, title, and interest in and to the WoSafePoint Content, as well as the Platform and Services, including all related intellectual property rights ("WoSafePoint IP"). Users and Caregivers acknowledge that the Platform, Services, and WoSafePoint Content are protected by copyright, trademark, trade secret, and other applicable intellectual property and proprietary rights laws of India and other countries.
  • You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Platform, Services, or WoSafePoint Content. These Terms do not grant you any rights, title, or ownership in or to any WoSafePoint IP, nor any entitlement to use WoSafePoint IP, except as expressly permitted herein.
  • Any feedback, comments, or suggestions you provide to WoSafePoint regarding improvements to the Platform, Services, or WoSafePoint Content ("Feedback") is entirely voluntary. WoSafePoint shall be free to use, disclose, reproduce, license, distribute, and otherwise exploit such Feedback without any obligation, compensation, or restriction of any kind. This includes feedback provided through surveys, direct communications, or any technology available on the Platform.
  • Subject to your compliance with these Terms, WoSafePoint grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access, view, and download WoSafePoint Content solely for your personal use and only in connection with your permitted use of the Platform and Services.
  • Users and Caregivers may provide WoSafePoint with certain personal documents or data (such as Aadhaar, Passport, police verification documents, identity proofs, or service-related records) ("User Materials"). Users and Caregivers retain ownership of their respective User Materials. By providing such User Materials, you grant WoSafePoint, its affiliates, and service providers an irrevocable, transferable, worldwide, royalty-free, fully paid-up, and non-exclusive license to use, display, process, and create derivative works of your User Materials only as necessary for the provision, verification, and facilitation of the Services in accordance with these Terms and applicable law.

11. Availability of the Platform

To the maximum extent permitted by law, the WoSafePoint Platform and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not guarantee that the Platform will always be available, uninterrupted, secure, or free from errors, bugs, or technical issues. While we strive to ensure the smooth operation of the Platform and Services, WoSafePoint makes no representations, warranties, or guarantees regarding:

  • The continuous availability or performance of the Platform.
  • The absence of defects, viruses, or other harmful components.
  • The reliability of communications, uploads, or transactions conducted through the Platform.
  • The suitability of the Platform for a particular purpose beyond the intended caregiver and user support services.

Your access to the Platform may occasionally be suspended, delayed, or restricted in order to carry out system maintenance, repairs, software updates, or upgrades, or to introduce new features, security enhancements, or services. We will make reasonable efforts to minimize such disruptions and, whenever possible, provide prior notice of planned maintenance. However, WoSafePoint shall not be liable to you, any caregiver, user, or third party for any interruption, delay, suspension, or unavailability of the Platform or Services at any time or for any duration. Users and caregivers are advised to plan their engagements and service requests accordingly, understanding that temporary disruptions may occur.

12. Reliance on Information

WoSafePoint is committed to ensuring that the information available on the Platform is accurate, verified, and trustworthy. We adopt strict compliance protocols, conduct thorough verification of caregivers, and require authentic documentation such as Aadhaar, government-issued IDs, or passports for international users. This ensures that all profiles, credentials, and service-related information displayed on the Platform can be relied upon with confidence.

We take full responsibility for maintaining the integrity and reliability of the information we publish or verify. Users and caregivers may rely on the content made available on the Platform for decision-making, service engagement, and safety purposes. However, while we make every effort to maintain accuracy and integrity, we also expect caregivers and users to keep their information up to date. Any false, misleading, or outdated information provided by caregivers or users is a violation of our Terms of Service and may result in immediate suspension or termination of their account.

WoSafePoint guarantees that it will:

  • Verify all critical caregiver and user data before activation on the Platform.
  • Maintain regular checks and compliance reviews to ensure information accuracy.
  • Provide transparent updates and corrections whenever necessary.

By using the Platform, you acknowledge and agree that WoSafePoint has taken adequate measures to ensure the reliability of information and that you may place reliance on the information and services provided herein.

13. Links to Other Platforms

You may link to the WoSafePoint home page, provided that you do so in a manner that is fair, transparent, and does not misrepresent, damage, or exploit our reputation. Links must not create the impression that WoSafePoint is associated with, endorses, or approves another service, organization, or individual unless such approval or authorization has been expressly granted by us in writing.

You are strictly prohibited from:

  • Establishing links that falsely imply any partnership, endorsement, or affiliation with WoSafePoint.
  • Embedding or framing the Platform (in whole or in part) within another website or application without our express permission.
  • Creating links to any page of the Platform other than the home page, unless expressly authorized.
  • Using WoSafePoint name, logo, or branding in a way that could mislead users, compromise safety, or diminish trust in our services.

Any website or application in which you include a link to WoSafePoint must fully comply with our Content Standards and must not contain unlawful, harmful, discriminatory, or misleading content. We reserve the right to withdraw linking permission at any time, without notice, particularly if we determine that the linking arrangement compromises our users' safety, security, or trust in the platform.

For caregivers, users, or third-party organizations who wish to reference or partner with WoSafePoint (for example, NGOs, law enforcement, or verified caregiving networks), written approval must be obtained in advance.

14. Computer Viruses and Security Risks

At WoSafePoint, we take the security and protection of our users very seriously. We implement industry-standard security protocols, encryption, and monitoring systems to safeguard the Platform from viruses, malware, spyware, and other malicious digital threats.   • Ensure that the devices used to access WoSafePoint run up-to-date anti-virus and security software.
  • Regularly update operating systems, applications, and browsers to reduce vulnerability to malicious code.
  • Exercise caution when downloading any material or content from the Platform and ensure such material is scanned for potential threats.

While we make every reasonable effort to keep the Platform safe and secure, we cannot be held liable for any loss, damage, data corruption, or disruption caused by viruses, malware, or other harmful technology that may infect your equipment, programs, or data as a result of using WoSafePoint, downloading content from it, or following links to third-party sites.

By using the Platform, you acknowledge and accept that digital security is a shared responsibility between WoSafePoint and its users.

15. Limitation of Liability

WoSafePoint is committed to providing a secure, reliable, and trusted platform for both users and caregivers. However, by using the Platform and its Services, you acknowledge and agree that your use is at your own risk, and certain limitations of liability apply.

WoSafePoint shall not be held responsible or liable for any inaccuracies, errors, or reliance placed on User Content. This includes caregiver profiles, reviews, or any information shared by users or caregivers on the Platform. While we strive to verify and maintain accurate information, WoSafePoint does not guarantee the accuracy, completeness, or reliability of such content.

We are not liable for any consequences, claims, or damages that may arise from incomplete, inaccurate, or delayed information provided during the registration process or throughout the use of the Platform. Similarly, WoSafePoint will not be responsible for unauthorized third-party access to your account, or any fraudulent or malicious activities conducted without your consent, including but not limited to misuse of identity or data.

Additionally, WoSafePoint disclaims liability for negligence, misconduct, or failure of obligations on the part of caregivers, users, or their representatives. Users and caregivers remain solely responsible for their actions, behaviors, and compliance with all applicable legal and safety requirements.

Any losses, claims, or damages that could have been reasonably avoided or mitigated by you through due diligence and proper precautions will not be the responsibility of WoSafePoint. Furthermore, the Platform cannot be held liable for technical issues, misuse of services, or reliance on unverified third-party information.

In no event shall WoSafePoint's total liability, whether arising in contract, tort, negligence, or otherwise, exceed the total amount of subscription fees or service charges paid by you to WoSafePoint in the six (6) month period immediately preceding the event giving rise to such claim. These exclusions and limitations form a fundamental part of the agreement between WoSafePoint and its users and caregivers, ensuring the sustainability and fair operation of the Platform.

16. Assignment

WoSafePoint reserves the right, at any time, to assign, transfer, mortgage, charge, subcontract, sublicense, or otherwise transfer any or all of its rights and obligations under these Terms. Such transfer of rights or obligations may occur for business, operational, compliance, or strategic reasons, and users will be deemed to have accepted such transfer by their continued use of the Platform and Services.

As a user or caregiver, you may not assign, transfer, mortgage, charge, subcontract, sublicense, or otherwise transfer any of your rights or obligations under these Terms without the prior written consent of WoSafePoint. This restriction ensures that only verified and authorized individuals or entities use the Platform in accordance with our safety, compliance, and trust standards.

Any attempt to assign or transfer your rights or obligations under these Terms without obtaining prior written consent from WoSafePoint shall be considered invalid and a breach of these Terms, which may result in the suspension or termination of your account.

17. Indemnification

As a user or caregiver of the WoSafePoint platform, you agree to indemnify, defend, and hold harmless WoSafePoint, along with its officers, directors, employees, representatives, and agents (collectively, the "Indemnified Parties"), from and against any and all claims, disputes, demands, liabilities, damages, losses, penalties, judgments, fines, costs, or expenses (including reasonable legal and accounting fees) that may arise in connection with your use of the Platform or Services.

This includes, but is not limited to, claims arising from:

  • Your use of the Platform, Services, or Content in a manner inconsistent with these Terms.
  • Your submitted content or communications on the Platform, including information shared during registration, verification, or service use.
  • Violations of these Terms of Service, whether proven or alleged.
  • Violations of any third-party rights, such as rights of privacy, publicity, or intellectual property.
  • Non-compliance with applicable laws or regulations, including but not limited to criminal background verification, employment, wage, data protection, or safety regulations.
  • Negligent, fraudulent, or harmful activity conducted by you, whether intentional or reckless.
  • Information or data furnished by you or your authorized representatives that is relied upon by WoSafePoint in providing services.
  • Requests or instructions given to WoSafePoint by you or your authorized representatives, where WoSafePoint reasonably believes those instructions to be valid.
  • Failure to comply with verification, security, or safety protocols, including caregiver identity verification or user safety checks.

You understand and agree that any failure by you, your representatives, or associated persons to follow WoSafePoint's procedures, instructions, or safety standards will make you solely responsible for resulting damages or liabilities.

By using the Platform, you acknowledge that this indemnification obligation is fundamental to WoSafePoint's ability to provide a safe and reliable service to its community.

18. Changes to These Terms, Platform, or Services

WoSafePoint reserves the right to update, revise, or modify these Terms of Service at any time, at its sole discretion. If changes are made, we will notify users either by posting the revised Terms on the Platform or through other appropriate communication channels such as email, push notifications, or in-app alerts.

It is your responsibility to review these Terms regularly. By continuing to access or use the Platform or Services after changes have been communicated and published, you are acknowledging and agreeing to be bound by the updated Terms. If you do not agree with the revised Terms, you must immediately discontinue use of the Platform and Services.

Because the WoSafePoint Platform and Services are continuously evolving to improve safety, functionality, and user experience, we may also, from time to time, modify, suspend, or discontinue certain features, services, or content. Such changes may occur with or without prior notice and at WoSafePoint's sole discretion. While we will make reasonable efforts to minimize disruption, WoSafePoint shall not be liable for any inconvenience or loss that may arise from such modifications.

By using WoSafePoint, you acknowledge and accept that such changes are necessary for the continued improvement, safety, and reliability of our services, and agree to remain bound by the most current version of these Terms.

19. Force Majeure

WoSafePoint and its affiliates shall not be held liable or responsible for any delay, interruption, or failure in the performance of its obligations under these Terms if such delay or failure results from events or circumstances beyond its reasonable control. Such events shall be deemed "Force Majeure Events" and may include, without limitation: natural disasters (such as floods, earthquakes, storms, or other acts of nature), fire, war, terrorism, armed conflict, civil commotion, riot, epidemic, pandemic, outbreak of disease, government restrictions, embargoes, strikes, labor disputes, lockouts, shortages of materials or labor, accidents, breakdowns of essential facilities, failure of utility services, disruptions to transportation, cyberattacks, or compliance with applicable laws and regulations.

In the event of a Force Majeure occurrence, WoSafePoint will take all reasonable steps to minimize the impact on users and caregivers, and, where possible, will resume the affected services as quickly as reasonably practicable. However, during the continuation of such events, WoSafePoint will not be held liable for any failure or delay in performance, loss, or damages incurred by users, caregivers, or third parties.

For caregivers and users relying on our services for safety, support, or employment, WoSafePoint may, at its discretion, implement temporary measures or alternative solutions where feasible. However, users acknowledge and agree that certain obligations, particularly those relating to the provision of uninterrupted services, may be temporarily suspended until the Force Majeure Event is resolved.

By using the Platform, all users and caregivers expressly acknowledge that unforeseen global or local events may affect the provision of services and agree that WoSafePoint shall not be considered in breach of its obligations when prevented or delayed due to such uncontrollable circumstances.

20. Miscellaneous

No Waiver

The failure by WoSafePoint to enforce strict compliance with any provision of these Terms shall not, under any circumstances, be interpreted as a waiver of any of WoSafePoint's rights or of your obligations under these Terms. WoSafePoint retains the right to insist on strict compliance at any point in the future, whether at law or in equity. Users and caregivers remain bound by all obligations even if enforcement is delayed.

No Agency Relationship

Nothing in these Terms shall be construed to create any partnership, joint venture, employment, fiduciary, or agency relationship between you and WoSafePoint. Caregivers, users, or any other participants on the platform act independently, and no party has the authority to bind or represent WoSafePoint in any manner unless expressly authorized in writing.

Validity of Provisions

If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid, unenforceable, or contrary to law, such provision shall be enforced to the maximum extent possible under the law. The remaining provisions of these Terms shall remain valid, binding, and in full force and effect.

Governing Law and Dispute Resolution

These Terms, your access to and use of the WoSafePoint Platform, and any disputes arising from them shall be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles. For international users, WoSafePoint will comply with relevant cross-border dispute and arbitration frameworks, where applicable, to ensure fairness.

All disputes should first be resolved amicably. If any disagreement arises regarding the validity, interpretation, or enforcement of these Terms, the parties agree to attempt settlement through good faith discussions for a period of at least 30 (thirty) days. If amicable resolution cannot be achieved, the dispute shall be referred to binding arbitration.

Arbitration Proceedings

Arbitration shall take place in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996 (as amended) for Indian users. For international users, arbitration may be referred under the rules of an internationally recognized arbitration body mutually agreed upon (such as SIAC or ICC). The tribunal shall consist of one (1) arbitrator, appointed in accordance with the applicable rules. The language of arbitration shall be English, and the award rendered by the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction.

By agreeing to these Terms, users and caregivers expressly waive any objection to the chosen jurisdiction, arbitration venue, or the enforceability of arbitration awards, and agree not to claim that the proceedings have been brought in an inconvenient forum.

21. Electronic Transmission

These Terms, including any future amendments, shall be deemed valid, binding, and enforceable in the same manner as an original contract signed in person. By accessing or using the WoSafePoint Platform, users and caregivers acknowledge and agree that acceptance of these Terms through electronic means constitutes a legally binding agreement equivalent to a handwritten signature.

No party shall dispute the formation or enforceability of this agreement on the grounds that it was delivered, accepted, or executed electronically. Whether the Terms are accepted through a digital click-to-accept process, email confirmation, app-based consent, or any other electronic method, such acceptance shall carry the same legal weight as if the Terms were signed in ink and physically exchanged.

For the avoidance of doubt, neither party may raise as a defense that (i) electronic methods were used to signify acceptance of these Terms, or (ii) that any signatures, approvals, or communications relating to these Terms were transmitted electronically. By agreeing, both parties expressly waive any objections or defenses regarding the validity of electronic signatures or communications. This clause ensures that users, caregivers, and WoSafePoint are fully bound by these Terms regardless of the form of electronic acceptance, providing consistency and enforceability across all jurisdictions where the Platform operates.

22. Warranty Disclaimers

User's use of the Platform, Services, and Content is entirely at the User's own risk. WoSafePoint is not in the business of providing legal, regulatory, tax, financial, accounting, employment, or other professional services or advice. Any information provided by WoSafePoint via the Platform or otherwise is meant for informational purposes only and should not be interpreted as professional advice.

The user should consult a professional that is trained or licensed in the relevant area if the User needs such assistance. Notwithstanding the foregoing, WoSafePoint's licensed health insurance brokers may provide professional advice regarding health insurance to Users that subscribe for WoSafePoint's health insurance brokerage services. In addition, certain Partners have licensed professionals who may provide professional advice.

WoSafePoint does not warrant, endorse, guarantee, or assume responsibility for any product or service, including without limitation Third-Party Services, advertised or offered by a third party through the Platform or any hyperlinked website or service, and WoSafePoint will not be a party to or in any way be responsible for monitoring any transaction between User and third-party providers of products or services.

WoSafePoint works with third-party service providers to provide the Services, and unless otherwise stated in an agreement between User and any such third-party service provider, the third-party service providers (i) make no warranty as to the accuracy or completeness of the information provided to User, and (ii) disclaim express warranties or implied warranties imposed by law with respect to the services they provide, whether directly or indirectly, to User.
